This Terms and Conditions Agreement (“Agreement”) forms a legally binding contract between you, the user, client, participant, or guardian of a participating minor (“User”), and Vidamuzzic International Academy of the Arts, a division of Sanjen Enterprises LLC (“Company,” “we,” “our,” or “us”). By accessing, enrolling in, purchasing, or utilizing any websites, courses, programs, memberships, applications, digital tools, or other educational or artistic services offered by the Company (collectively, the “Services”), you acknowledge and affirm that you have read, understood, and voluntarily agree to be legally bound by all provisions of this Agreement. If you do not agree to all terms herein, you must immediately discontinue use of the Services.

The Company collects, stores, and processes personal information in accordance with its Privacy Policy, which is incorporated herein by reference. By using the Services, you consent to the processing of your data as outlined in the Privacy Policy and permitted by applicable law. Users must be at least eighteen (18) years of age or the age of majority in their jurisdiction. If a minor participates in any Academy program, the parent or legal guardian expressly authorizes the minor’s participation and assumes full financial and legal responsibility for all actions taken within the Services.

All fees associated with the Academy and its programs are payable in U.S. Dollars unless otherwise specified. Payment is due at the time of purchase unless a written payment plan is provided and accepted. Enrollment in any payment plan or subscription constitutes authorization for recurring charges according to the agreed billing schedule. Failure to complete payments may result in suspension or termination of the User’s access to the Academy’s digital portals, lessons, or materials.

Except where explicitly stated in the Company’s Refund Policy, all payments for programs, courses, digital materials, memberships, merchandise, and services are final and non-refundable. Due to the nature of digital access, proprietary training systems, and immediate delivery of materials, no cancellations, refunds, or exchanges will be issued for any reason except as required by law. Initiating a chargeback for a legitimate purchase constitutes a breach of this Agreement and may result in legal action.

All content provided by the Vidamuzzic International Academy of the Arts—including but not limited to videos, vocal training systems, breathing methodologies, worksheets, practice charts, lessons, musical materials, digital apps, graphic designs, branding, books, written exercises, artistic curriculum, and educational modules—is the exclusive intellectual property of Sanjen Enterprises LLC. Users are granted a limited, non-transferable, non-exclusive license for personal educational use only. Users may not copy, distribute, broadcast, publish, resell, modify, reproduce, or otherwise exploit any Academy material without express written permission. Unauthorized use shall constitute copyright infringement and may result in legal enforcement.

The Services are provided strictly on an “as-is” and “as-available” basis without warranties of any kind, express or implied. The Company makes no guarantees regarding outcomes, vocal improvements, artistic development, career opportunities, or performance results. Participation in vocal exercises, breathwork, performance training, or any artistic or physical activity is at the User’s own risk. The User assumes full responsibility for monitoring their personal limitations and seeking appropriate medical advice where necessary.

To the fullest extent permitted by law, the Company shall not be liable for any indirect, special, incidental, exemplary, or consequential damages arising from the use of the Services. The User agrees that the Company’s total liability for direct damages shall not exceed the amount actually paid for the specific Service in question. The User agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, losses, damages, or expenses arising out of or related to the User’s use of the Services, breach of this Agreement, or violation of any applicable law.

This Agreement is governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes or claims arising out of or relating to this Agreement or the Services shall be resolved exclusively in the state courts located in Clay County, Florida, and the User irrevocably consents to such jurisdiction.

The Company reserves the right, at its sole discretion, to amend, revise, or update this Agreement at any time. Any modifications will be effective immediately upon posting. Continued use of the Services constitutes acceptance of all updated terms.

This Agreement, together with the incorporated Privacy Policy, Refund Policy, and all additional Academy guidelines and disclaimers, constitutes the entire understanding between the parties and supersedes all prior or simultaneous communications, whether written or oral.
